Considering our relationship as a potential or current service provider to you, the Client, and in light of the fees received in this context, C1NA acknowledges, understands, and agrees as follows:
- C1NA acknowledges that, by virtue of its relationship with the Client, it will acquire information regarding confidential matters belonging to the Client. This information—including, but not limited to, practices, operations, procedures, policies, budgets, products, financial information, pricing and sales policies, techniques and concepts, cost information related to the services provided or to be provided by the Client to its customers, as well as the names, addresses, purchasing habits and preferences of the Client’s customers, and the names and addresses of its suppliers and the prices charged by them—is considered the exclusive property of the Client.
- C1NA acknowledges that the use of the above‑mentioned information could harm the Client, its customers, or its suppliers. Consequently, C1NA agrees to maintain the confidentiality of all such information and not to disclose it to third parties during the course of the relationship with the Client, for any reason whatsoever, unless prior written authorization is provided by the Client. C1NA agrees that any unauthorized disclosure of such information during the relationship with the Client shall constitute grounds for immediate termination of the relationship by the Client.
- C1NA agrees, upon notification of the end of the relationship by or with the Client, to return to the Client all documents, records, lists, notes, and other materials related to the activities of the Client, its customers, and suppliers, that are in C1NA’s possession or under its direct or indirect control, it being understood that C1NA may retain a backup copy of all Client documents and work for archiving purposes. You represent that you have obtained all necessary consents for the collection, use, and disclosure of such personal information, in accordance with applicable privacy legislation; We will retain all personal information in accordance with our company’s Privacy Policy.
- C1NA agrees that the commitments set out in this Agreement shall survive the end of the relationship. All restrictions contained herein are reasonable and valid, and C1NA hereby waives any defense against their strict enforcement by the Client.
- C1NA agrees that legal remedies for any breach of the provisions of this Agreement may be insufficient and that, in the event of a breach, the Client shall be entitled to seek from a competent court a temporary and/or permanent injunction against us, without any obligation to demonstrate actual damage
